Terms of Service

01 / Service description

Prodward is an AI production-engineering platform. It scans connected repositories for production-readiness issues, opens pull requests that fix findings, and provisions infrastructure (hosting, monitoring, email, databases, caches, and related services) directly on vendor accounts that you own and control. Prodward does not host your application or your data on infrastructure it owns.

02 / Accounts & eligibility

You sign in with GitHub OAuth. You must be at least the age of majority in your jurisdiction and have the authority to connect the repositories and vendor accounts you provide to Prodward. If you connect Prodward on behalf of an organization, the organization's owners and administrators are responsible for the conduct of every member who uses the connection.

03 / Acceptable use

You agree not to use Prodward to process, generate, or distribute illegal content, and not to attempt to abuse, circumvent, or overload the AI agents that power the service — including attempts to exceed fair-usage limits, extract system prompts, or use the service to build a competing product from its outputs.

04 / Customer code & intellectual property

You retain all right, title, and interest in your source code and any content you connect to Prodward. You grant Prodward a limited, non-exclusive license to access, clone, analyze, and process your code solely for the purpose of providing the service to you — generating readiness reports, findings, and fix pull requests. Prodward does not claim ownership of your code and does not use your code to train models.

05 / AI recommendations disclaimer

Findings, fixes, readiness reports, and any other output produced by Prodward's AI agents are advisory. They are generated with the assistance of large language models and may be incomplete or incorrect. You are responsible for reviewing and merging every change yourself — Prodward never pushes to default branches. Prodward provides no warranty, express or implied, that any recommendation, finding, or generated fix is accurate, complete, or fit for your particular purpose.

06 / Vendor accounts

Prodward orchestrates infrastructure on vendor accounts you own — Vercel, Sentry, Resend, Neon, Supabase, Upstash, Cloudflare, PostHog, and others you connect. Prodward operates under a strict READ. CREATE. CONFIGURE. principle: it reads what exists, creates what's missing, and configures what's drifting. Prodward never deletes your infrastructure, never modifies billing on your vendor accounts, and never requests admin-level scope.

07 / Fees & billing

Prodward is offered free of charge during the invitation-only beta. The terms below apply when you subscribe to a paid plan.

Billing. Paid plans are billed in advance through our third-party payment processor (Stripe) on a recurring cycle — monthly unless a different cycle is shown at checkout. The price and billing cycle presented at checkout govern your subscription.

Auto-renewal and cancellation. Subscriptions renew automatically at the end of each cycle until you cancel. You may cancel at any time from your billing settings or by contacting support@prodward.com; your access continues until the end of the billing period you have already paid for, after which paid access ends. We do not charge a cancellation fee.

No refunds. Except where required by applicable law, all fees are non-refundable and we do not provide refunds or credits for partial billing periods, downgrades, or unused service.

Taxes, price changes, and non-payment. Prices are exclusive of applicable taxes, for which you are responsible. We may change plan prices with prior notice, effective on your next renewal. If a payment fails, we may suspend or downgrade paid features after notice. Fees introduced under a paid plan will not apply retroactively to usage that occurred while the service was free.

08 / Limitation of liability & disclaimer of warranties

The service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by law, Prodward's aggregate liability for any claim arising out of or relating to the service will not exceed the amount you paid Prodward in the twelve months preceding the claim, or one hundred US dollars if you paid nothing.

09 / Governance policy overrides

Prodward's governance engine ships organization-level policies that can block a pull request — for example, a policy that blocks any change introducing a critical security finding. If you or another administrator on your organization disables a security-domain policy whose action is set to block, Prodward requires you to type your organization's exact name as a typed acknowledgment before the change is saved, and records who made the change and when. A disabled policy of this kind is not silently forgotten: it continues to run and its violations are still shown to you, downgraded to a warning rather than a block, so the signal stays visible even though it no longer stops a merge.

Disabling a security-block policy is your organization's decision and your organization's risk to accept. Prodward is not liable for any issue, incident, security vulnerability, or damages that a disabled policy would otherwise have caught or blocked. This does not narrow the limitation of liability in Section 08 — it confirms that section applies with full force to consequences of your own choice to turn a blocking policy into a warning.

10 / Termination

You may disconnect your repositories and vendor accounts and stop using Prodward at any time. Prodward may suspend or terminate access to the service for violation of these terms, with notice where practicable. Termination does not affect infrastructure already provisioned on your own vendor accounts — that infrastructure remains yours.

11 / Changes to these terms

Prodward may update these terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the service after an update constitutes acceptance of the revised terms.

12 / Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
